Terms of Service - Pay Per Click Search Engine Listings I have read and agree to the terms of service, Sign me up! Terms and Conditions 1. Phathole provides you with access to your account on the Phathole.com network for the purposes of advertising one of more of your sites in the Phathole.com directory. By signing up as an advertiser, you unconditionally agree to all the following terms and conditions. 2. USE OF PHATHOLE.COM'S SERVICES. You may use the Phathole.com website at your own risk. Phathole.com is not responsible for loss or damage to you, your company and/or related parties. 3. PAYMENT. Payments must be received in advance. Sorry, Phathole.com does not bill or offer Net Terms for any advertiser. Absolutely no exceptions will be made. 4. RIGHT TO IDENTIFY USAGE. You understand that Phathole.com may or may not publicly and/or privately identify your use of the Phathole.com website without payment, compensation or notice to you, your company and/or related parties. 5. RIGHTS AND RESPONSIBILITIES. It is your responsibility as a webmaster to maintain your account information in a safe place. Phathole.com is not responsible if others gain access to your account, deplete your funds and/or change information in your account. It is your responsibility to maintain the integrity of your account. 6. NO WARRANTIES. Use the Phathole website as you understand that Phathole.com offers no warranties either implied or expressed. 7. LIMITATIONS OF LIABILITY. Phathole.com, it's affiliates, associates, partners, parents companies, subsidiaries and/or employees shall not be directly or indirectly held liable for any damages or loss caused by the direct and/or indirect use of Phathole.com, it's services and/or content.  8. TERMINATION OF SERVICE. You may terminate your account at any time without refund.  Any remaining balance would be considered payment for services rendered. 9. REFUNDS. Under no circumstances will refunds be issued to any parties. 10. SUBMISSIONS. All submissions are processed by Phathole.com, and may be removed by Phathole.com in the event that Phathole.com sees need to do so at it's own discretion. 11. DEPOSITS. All credit card deposits are processed via merchant online or PayPal, and you authorize Phathole.com to submit your payment information to merchant online for payment processing. All fees are payable in US dollars. 12. MINNESOTA LAW. The Phathole.com website shall be governed by the laws of the state of Minnesota. 13. SUPPORT. If you wish to gain support you may do so by e-mailing webmaster@phathole.com. 14. EXPOSURE. Phathole.com makes every attempt to provide Phathole.com listings with the largest amount of exposure possible but we can not guarantee results, traffic or exposure. From time to time we may expose listings to several other sites and reserve the right to add, change or remove sites in the Phathole.com network which your listings may appear on.  15.CRITERIA. Phathole.com in its sole discretion may consider before accepting or declining a Web site, each site submitted for inclusion in the Directory through the Service must meet the following MINIMUM criteria: A. Your site must be in English and be of use to an audience located in the United States. Sites not appropriate for the United States should not be submitted to Phathole.com. B. Your site should have original content. C. Your site cannot contain pornography, pornographic or adult advertising, erotica or adult only content, gratuitous or graphic violence, material that infringes on or violates someone's rights, or material that promotes/disseminates illegal activities. D. You are solely responsible for ensuring that the content and activities on your site are in compliance with all applicable laws and regulations. To the extent that pharmaceuticals and/or medical devices may be offered or promoted on your site, you certify that you are a licensed heath care provider or other entity authorized to prescribe, distribute or otherwise deal in such products in the jurisdictions in which they are sold. E. Your site must contain sufficient pages and recognizable content. F. Your site must be up and running seven days a week and 24 hours a day. G. Your site should not be under construction, and all links must be working. H. Your site must be reasonably quick to load. 9. You can submit as many keywords, descriptions, titles and URLs from your account as you feel necessary. But, each account can only have one active bid per keyword. 10. Titles, keywords, and descriptions must be relevant to the website you are listing.  16. AFFILIATE PROGRAM. The affiliate search program operated on phathole.com is based on a zero cash value system. Any funds earned as a result of your affiliate actions can only be used for advertising purposes on Phathole.com.  No payments will be issued from Phathole.com to it's affiliates. Affiliate programs operated on an affiliate network outside of Phathole.com may have a cash value but would be controlled entirely by that affiliate network. Phathole.com has no liabilities for the action of any affiliate networks outside of Phathole.com. 17. MISCELLANEOUS BY COMPLETING THE SERVICE REGISTRATION FORM, YOU REPRESENT AND WARRANT THAT YOU ARE 18 YEARS OF AGE OR OLDER; THAT YOU HAVE AND AGREE TO PROVIDE TRUE, COMPLETE, CURRENT AND ACCURATE INFORMATION AS PROMPTED BY THE REGISTRATION FORM; THAT, TO THE BEST OF YOUR KNOWLEDGE, THE SITE SUBMITTED IS IN COMPLIANCE WITH ALL APPLICABLE LAWS AND REGULATIONS; AND THAT YOU AGREE TO BE BOUND BY THIS AGREEMENT. Disclaimer and Limitation on Liability. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. PHATHOLE.COM MAKES NO WARRANTY EXPRESS OR IMPLIED THAT THE SERVICE WILL BE UNINTERRUPTED, UNDISRUPTED OR ERROR FREE. NEITHER PHATHOLE.COM, ITS PARTNERS, SUBSIDIARIES, AFFILIATES, OFFICERS, OWNERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES OR AGENTS SHALL BE LIABLE, UNDER ANY CIRCUMSTANCES OR LEGAL THEORIES WHATSOEVER, FOR ANY LOSS OF BUSINESS, PROFITS OR GOODWILL, LOSS OF USE OR DATA, INTERRUPTION OF BUSINESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT IN ANY WAY RESULT FROM ANY ASPECT OF THE SERVICE, INCLUDING WITHOUT LIMITATION, APPLICANT'S USE OF OR INABILITY TO USE THE SERVICE OR ACCEPTANCE, REJECTION OR REMOVAL OF APPLICANT'S SUGGESTED SITE, EVEN IF PHATHOLE.COM IS AWARE OF THE RISK OF SUCH DAMAGES. IN NO EVENT SHALL PHATHOLE.COM'S LIABILITY TO APPLICANT EXCEED THE AMOUNT ACTUALLY PAID BY APPLICANT TO PHATHOLE.COM UNDER THIS AGREEMENT. SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU IF YOUR JURISDICTION DOES NOT ALLOW THE EXCLUSION OF CERTAIN OF THE ABOVE WARRANTIES OR LIABILITIES. This Agreement sets forth the entire agreement of the parties with respect to the Service and supersedes all previous communications, representations, understandings and agreements, either oral or written, between the parties with respect to the Service. Force Majeure. Neither party will incur any liability to the other party on account of any loss or damage resulting from any delay or failure to perform all or any part of this Agreement if such delay or failure is caused, in whole or in part, by events, occurrences or causes beyond its reasonable control. Data Usage. Applicant acknowledges and agrees that Phathole.com may use the information about Applicant on its servers and any registration information submitted by Applicant in aggregate form for research and product development, marketing, or other promotional purposes. Applicant hereby agrees that Phathole.com has the right (but not the obligation) to disclose any such information if Phathole.com believes such disclosure is needed to comply with the law or legal process or to protect the rights and interests of Phathole.com or others, including to enforce this Agreement. Section Titles The section titles in the Agreement are for convenience only and shall have no effect on the interpretation of any part or provision regardless of the title heading under which the part of provision is allocated.You will be entirely responsible for providing internet access so that you can access your account and any applicable fees that are associated with this expense.
